RMB adopts the new Organisation, Management and Control Model

RMB adopts the new version of the Organisation, Management and Control Model. The adoption of this model, in line with the provisions of Legislative Decree 231/2001, represents a fundamental step towards strengthening the corporate governance system, ensuring greater transparency, risk prevention and compliance with current regulations.

The Model defines principles, rules and procedures aimed at preventing the commission of offences in the interest or for the benefit of the company. Among its main innovations is the establishment of a Supervisory Body (SB), responsible for monitoring the application and effectiveness of the model itself, ensuring continuous updating in response to regulatory and organisational developments.

Training and awareness for all employees
In the coming months, RMB will launch a programme of informative and training meetings dedicated to illustrating the contents of the Organisation, Management and Control Model and its implications for the company. The meetings will illustrate not only the contents of the model, but also the practical implications for each functional area,

strengthening collective awareness of the importance of compliance.

The Code of Ethics: a guide to corporate relations
A key element of the new Organisation, Management and Control Model adopted by the Company is the Code of Ethics, recently updated by the RMB Board of Directors.

The document is an essential guide for corporate relations, outlining the fundamental values and rules of conduct that all members of the organisation are required to comply with. The Code not only prevents the risk of offences under Legislative Decree 231/2001, but also promotes principles of fairness and transparency in economic transactions and human relations, both inside and outside the company.

RMB is committed to disseminating the document internally and externally through all channels designed to facilitate access to information.
For RMB, pursuing ethics in business is an integral part of its corporate strategy. The adoption of the Organisation, Management and Control Model and the Code of Ethics further strengthens the company’s identity as an organisation committed to sustainable growth, the protection of its employees and the enhancement of its stakeholders.
